OFFICIAL RULES

Open to residents of Canada

1. NO PURCHASE IS NECESSARY. Milwaukee Innovation Tour Contest (the “Contest”) is intended to be conducted in Canada only and shall be construed and evaluated according to applicable Canadian law. Void in whole or part where prohibited by law. Entry into this Contest constitutes acceptance of and agreement to abide by these official rules (the “Official Rules”). Do not participate in the Contest if you do not fall within the eligibility requirements as set forth in Rule 3. The decisions of the Sponsor (defined below) with respect to all aspects of the Contest are final. 2. SPONSOR & CONTEST PERIOD: The Contest is sponsored by Techtronic Industries Canada Inc. (the “Sponsor”) and is administered by Promotion Solutions (the “Administrator”). The Contest begins at 6:00:00 PM Eastern Time (“ET”) on Friday, August 29, 2025 and ends at 5:59:59 PM ET on Wednesday, October 29, 2025 (the “Contest Period”).
3. ELIGIBILITY: To enter and be eligible to win, an entrant (an “Entrant”) must be a legal resident of Canada who at time of entry has reached the age of majority or older in the province/territory in which they reside and not be an employee of the Sponsor, the Administrator and each of their respective affiliates, subsidiaries, related companies, advertising and promotional agencies, entities involved in the development, production, administration, or fulfillment of the Contest, The Home Depot or a member of any such employee’s immediate family (regardless of where they live) or persons with whom they are domiciled (whether related to the employee or not). In these Official Rules, “immediate family” means parents, siblings, children and/or legal or common-law spouse. The Sponsor and Administrator shall have the right at any time to require proof of identity and/or eligibility to participate in the Contest. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to the Sponsor and Administrator for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. The Sponsor and Administrator reserve the right, in their sole and absolute discretion, to disqualify any Entrant should such Entrant at any stage (i) supply untruthful, incomplete, inaccurate or misleading personal details and/or information, or (ii) fail to strictly adhere to these Official Rules.
4. HOW TO ENTER THE CONTEST: During the Contest Period, visit www.milwaukeethdevents.ca (the “Contest Website”) and register for the Milwaukee Innovation Tour Event by completing the entry form (the “Entry Form”) with your first and last name, province/territory in which you reside, daytime telephone number, a valid email address and your applicable trade (optional) and Company name (optional). Next, confirm that you have read and accept these Official Rules and if you wish to do so, agree to receive information from the Sponsor regarding upcoming events and/or promotions. You may unsubscribe at any time without affecting your chances of winning. Upon doing so, click “Submit” to receive one (1) entry (the “Entry”, collectively, “Entries”) into the Contest. All Entries become the sole property of the Sponsor and none will be returned for any reason. Entries must be received on or before Wednesday, October 29, 2025 (the “Contest Closing Date”).

   By clicking “Submit” you are (i) confirming compliance with these Official Rules and (ii) confirming that you are the age of majority or older at time of entering the Contest. You may only use one (1) email address to enter the Contest. Limit of one (1) Entry per person during the Contest Period. Anyone found to have used multiple email accounts to enter will be ineligible. Proof of transmission (screenshots or captures, etc.) does not constitute proof of delivery. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. All Entries are subject to verification. The Sponsor and Administrator reserve the right, in their sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor and/or Administrator) to participate in this Contest. Failure to provide such proof in a timely manner may result in disqualification. In the event it is determined that an Entrant has entered in a fashion not sanctioned by these Official Rules and/or has submitted more than the number of Entries permitted by these Official Rules, the Entrant will be disqualified and all of the Entries submitted by the Entrant will be disqualified.

5. PRIZE: There is (1) prize (the “Prize”) available to be won, consisting of a select assortment of Milwaukee FUEL Tools as selected by the Sponsor. Approximate retail value (“ARV”) of the Prize is $5,000.00 (CDN). Without limiting the generality of any other terms set out in these Official Rules, the following general conditions apply to the Prize: (i) By accepting the Prize, the winner agrees to waive all recourse against the Releasees (as defined below) for any reason whatsoever including if the Prize or a component thereof does not prove satisfactory, either in whole or in part; and (ii) Prize must be accepted as awarded without substitution, is not transferable, not for resale and has no cash surrender value. The Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Prize or any component thereof; and (b) substitute the Prize or a component thereof for any reason with a Prize or a prize component of equal or greater value, without advanced notice and liability. Only one (1) Prize will be awarded.
6. PRIZE DRAW: A random draw (the “Draw”) will be held at approximately 10:00 AM ET on Tuesday, November 4, 2025 (the “Draw Date”) at the offices of the Administrator at 2390 Bristol circle, unit 3 in Oakville, Ontario, from all eligible Entries received during the Contest Period. Odds of being selected for the Prize depend on the number of eligible Entries received during the Contest Period. The selected Entrant will be contacted by email or telephone within five (5) business days of the Draw Date. If a selected Entrant (a) cannot be reached within five (5) business days of being contacted; (b) fails to correctly answer the skill-testing question (see Rule 7); or (c) fails to return the properly-executed Release Form within the specified time (see Rule 7), then they will be disqualified and, time permitting, at the sole and absolute discretion of the Sponsor, another Entrant will be randomly selected (in which case the forgoing provisions of this section shall apply to such new selected entrant). The Sponsor will not be responsible for failed attempts to contact the selected Entrant.
7. WINNER CONFIRMATION: To be declared the Prize winner, the selected Entrant must correctly answer without assistance of any kind a mathematical skill-testing question. If the selected Entrant fails to correctly answer the skill-testing question, then they will be disqualified and another Entrant will be randomly selected, (in which case the foregoing provisions of sections 6 and 7 shall apply to such new selected entrant). The selected Entrant must also sign and return within five (5) business days of notification the Administrator’s form of declaration of eligibility and a liability/publicity release (the “Release Form”), which (among other things): (a) confirms compliance with these Official Rules; (b) acknowledges acceptance of the Prize as awarded; (c) releases the Sponsor and Administrator, their respective affiliates, subsidiaries, related companies, advertising and promotional agencies, entities involved in the development, production, administration, or fulfillment of the Contest, The Home Depot and each of their respective officers, directors, employees, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, participation in any Contest-related activity or the acceptance, use, or misuse of the Prize, including but not limited to, costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and grant to the Sponsor the unrestricted right, in the Sponsor’s sole and absolute discretion, to use and re-use the winner’s name, photograph, likeness, voice and biography in any and all media now known or hereafter devised, in connection with the Contest and the promotion and exploitation thereof.
8. GENERAL: The Sponsor and the Administrator will not be liable for any failure of the Contest Website, does not assume any responsibility for any problems or technical malfunctions of any telephone network or lines, computer online systems or servers, computer software problems or traffic congestion on the Internet or at any website and assumes no liability for damage to Entrant's or any person's computer resulting from participating in the Contest. The use of an invalid email address will disqualify the Entry. Users spamming/reusing the same email address will disqualify all associated Entries. In the event of a dispute as to the identity of the winner based on an email address, the selected Entry will be deemed to have been made by the authorized account holder of the email address at the time of entry. “Authorized account holder” is the natural person who is assigned an email address by an internet service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Administrator’s Contest server machine(s).
9. This Contest is subject to all applicable federal, provincial/territorial and municipal laws and regulations. By entering the Contest, participants agree to (i) be bound by these Official Rules and by the decisions of the Sponsor and Administrator, which shall be final with respect to all matters relating to this Contest and the awarding of the Prize, and (ii) release the Releasees (see Rule 7) from any and all liability in connection with this Contest, the selected Entrant’s participation therein and/or the awarding and use/misuse of a Prize or any portion thereof. All Entries become the property of the Sponsor and none will be returned. The Releasees make no warranty, guaranty or any representation of any kind concerning a Prize, disclaim any implied warranty, and are not liable for injury, loss, or damage of any kind resulting from the acceptance or use/misuse of the Prize or from participation in this Contest.
10. The Sponsor is not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of the winner, or the distribution of the Prize. In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to the Prize and/or point of sale, print or online advertising, the terms and conditions of these Official Rules shall prevail, govern and control to the fullest extent permitted by law.
11. If for any reason, the Contest is not capable of being completed as planned including, but not limited to computer virus, bugs, tampering, technical failures or other causes beyond the control of the Sponsor, the Sponsor and Administrator reserve the right to modify the Official Rules or cancel this Contest and conduct the Draw from all previously-received eligible Entries received by the date of cancellation of the Contest. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.
12. The Sponsor respects an Entrant’s right to privacy. Personal information collected from Entrants will only be used by the Sponsor to administer the Contest and, only if consent is given at the time of entry, to provide the Entrants with information regarding upcoming promotions and/or events from the Sponsor.
